<p>As a Procurement Legal Counsel/Commercial Contracts Manager, you will report to the Head of Commercial Legal, and be responsible for various legal-related matters and projects involved with supporting the legal review of our supplier agreements, including privacy related documentation. You will contribute to legal innovation by developing and improving agreement templates, enhancing our legal negotiation playbooks, and supporting the design and implementation of scalable legal processes to enable efficient, high-quality contracting. You’ll work closely with our Product, Engineering, Marketing, Finance, Business Operations, and Go-To-Market teams. <p><strong>You’ll help us protect honest people online by:</strong></p>
<ul>
<li>Drafting, reviewing, and negotiating a variety of procurement agreements to support our purchase and use of software and services from suppliers. Your primary focus will be on our software and service agreements, data processing agreements, and NDAs. You will leverage your experience across numerous commercial transactions to help shape business terms and structure deals effectively and strategically.</li>
<li>You will also be managing our privacy risk assessment process as part of our supplier risk assessment process and guide internal teams and our suppliers through the requirements.</li>
<li>Advising on a variety of areas ranging from intellectual property, data privacy, data security, software licensing agreements, and commercial strategy.</li>
<li>Providing input on processes and policies to help scale the organization and make our team more effective and efficient.</li>
<li>Providing effective advice by staying up-to-date on relevant industry, commercial, open source, IP, privacy, employment, and other laws, regulations, and developments.</li>
<li>Operating independently and providing practical, decisive guidance to internal stakeholders that balances business objectives with legal risk, taking into account our company policies and negotiation positions.</li>
</ul>
<p><strong>You are the right future Veriffian for the job if you are/have:</strong></p>
<ul>
<li>Fluent in English.</li>
<li>Experience working in an in-house legal department, ideally in the tech sector.</li>
<li>4+ years of post-qualification experience working on different kinds of commercial transactions (e.g., SaaS, IP and software licensing, product resale, and distribution, working with contractors, outsourcing, facilities, etc.).</li>
<li>Comfortable negotiating data processing agreements, including a working knowledge of or quick ability to gain and demonstrate a working knowledge or GDPR, LGPD and CCPA as they relate to commercial agreements.</li>
<li>Experience managing data privacy risk assessments, preferably as part of a supplier due diligence process.</li>
<li>Clean and concise drafting of documents, policies, Slack messages, emails, and other communications in a manner that is digestible for non-lawyers.</li>
<li>Able to practice in the United Kingdom, Spain, Brazil or Estonia.</li>
<li>Understanding of cloud services, technology, and professional services agreements.</li>
<li>In-house experience and knowledge of non-legal business processes related to business operations and commercial transactions.</li>
<li>Experience managing workload on tight timelines with multiple competing demands.</li>
<li>Ability to clearly articulate and explain positioning, internally and externally, as well as pivot positioning should situations necessitate to maximize value for the Company.</li>
</ul>
<p><strong>You’re an especially awesome match if you have:</strong></p>
<ul>
<li>Experience with supplier onboarding and management platforms, as well as other enterprise workflow tools, such as Omnea and Jira. </li>
<li>Spanish and/or Portuguese language skills are a plus.</li>
<li>Experience in internationally acknowledged privacy/information security/auditing/risk management practices or other privacy related matters.</li>
<li>Effective project management skills that can drive collaboration on cross-functional alignment with different departments and build consensus through creative problem-solving.</li>
