Self-Serve Addendum

1.1. Parties acknowledge that the Self-Serve plans are only available to legal entities and not to private individuals. By proceeding to the Self-Serve Subscription, the individual completing the Customer registration (the “Customer’s Representative”) represents and warrants that:

(a) they are subscribing on behalf of a legal entity that is duly organized, validly existing, and in good standing under the laws of its jurisdiction (and not as a natural person for personal use); and

(b) they have the legal authority to bind that entity to the Agreement (including this Addendum).

1.2. Veriff may request proof of the above at any time. If the registering individual is unable to demonstrate authority to bind the entity, or if the registrant is not a legal entity, Veriff reserves the right to reject the registration of the Customer and/or immediately terminate the Service.

2.1. Upon Self-Serve Subscription as per Section 1 above, Veriff offers a one-time trial for new Self-Serve Customers for up to fifteen (15) calendar days or twenty (20) verification Sessions, whichever occurs first from the initial Self-Serve subscription (collectively the “Trial”). Notwithstanding the foregoing, access to such Trial is granted only once the Customer’s Representative has successfully completed Veriff’s identity verification. During the Trial, the Service may be used solely for evaluation and testing purposes and not for any live production use. 

2.2. Once the Trial terminates, the Customer’s access to the Service will be suspended. Continued use of the Service requires (i) the Customer to select and pay for the relevant Self-Serve plan in accordance with the payment conditions set forth below in Section 4 herein and (ii) Customer’s successful completion of Veriff’s onboarding process, including but not limited to identity verification of the Customer’s Representative and any relevant Know Your Business (KYB) checks. Veriff reserves the right to deny or suspend access to the Service if the Customer fails to pass these onboarding procedures.

2.3. Customer agrees to cooperate in good faith with any commercially reasonable requests or due diligence inquiries from Veriff and must respond to any such inquiry within seven (7) business days. 

2.4. The Customer represents and warrants that neither it nor any of its Affiliates or authorized users are (a) located in, or a national or resident of, any country that is subject to applicable trade sanctions, embargoes, or similar restrictions; or (b) included on any sanctions or restricted party list maintained by the U.S., EU, UK, or other applicable authorities. Veriff reserves the right to immediately suspend or terminate the Customer’s access to the Service if Veriff determines, in its sole discretion, that providing the Service would violate applicable sanctions, export control laws, or other regulatory obligations.

3.1. Customer agrees to the following restrictions on the number of Sessions created to the Service (individual or collectively referred to as the “Usage Cap(s)“):

(a) a maximum of fifteen (15) Sessions per minute can be created via the Service; and
(b) a maximum of ten thousand (10,000) Sessions per month can be created via the Service.

3.2. The Customer is responsible for use within the specified limits above and any use in excess. must be under an Order Form. Any usage in excess of Usage Caps herein may be subject to limitations on the Service by Veriff to bring Customer into usage compliance. 

Customer will pay for all Service in accordance with the relevant Self-Serve plan as defined here and/or such successor site(s) (“Self-Serve Plan Fee”). Customer will be billed as follows: (i) a prepaid amount will be charged on a recurring basis, at the beginning of each billing period, (ii) usage slightly exceeding the prepaid fee paid per point (i) will be billed retroactively in the beginning of the next billing period unless point (iii) applies; and (iii) any usage that reaches at least twice the prepaid Self-Serve Plan Fee may be billed immediately. Veriff will send the payment receipt via email to the billing contact designated by Customer during the Self-Serve Subscription. The Customer authorizes Veriff to charge the Customer’s selected payment method.

SELF-SERVE SERVICE RENEWS AUTOMATICALLY AT THE END OF EACH BILLING CYCLE FOR SUCCESSIVE PERIODS EQUAL TO THE INITIAL TERM, UNLESS THE CUSTOMER CANCELS THE SUBSCRIPTION VIA THE SERVICE INTERFACE PRIOR TO RENEWAL. NO REFUNDS WILL BE ISSUED IN ANY INSTANCE. THE CUSTOMER IS SOLELY RESPONSIBLE FOR MANAGING ITS SUBSCRIPTION AND ANY ASSOCIATED BILLING PREFERENCES.

6.1. If Customer fails to pay the Service within seven (7) calendar days from the relevant invoice issue date, then Veriff may, without limiting its other rights and remedies, suspend or temporarily disable Customer’s access to the Service in part or in full, without any obligation to provide any access to the Service until all relevant Service are paid in full. If Customer fails to pay the Service within fifteen (15) calendar days from the relevant invoice issue date, then Veriff may, without limiting its other rights and remedies, and without any further notice, terminate this Agreement.

6.2. Failure to comply with requests described in Section 2 of this Addendum, including not providing the requested information, constitutes a material breach of the Agreement (as per the Terms of Service provisions). If the breach is not cured within seven (7) calendar days following notice, Veriff may suspend or terminate the Customer’s subscription for cause.

6.3. Veriff reserves the right to immediately deny access to the Service or terminate any Self-Serve account at any time if the Customer (a) fails to meet Veriff’s onboarding or compliance requirements, (b) poses a regulatory, reputational, or legal risk, or (c) is determined to be ineligible under applicable law, the Terms of Service or this Addendum. 

6.4. Suspension or termination for non-payment does not relieve the Customer of its obligation to pay all outstanding fees.

Unless Customer expressly enters into an Order Form, for Self-Serve Customers any reference in the standard Terms of Service to a separate “Service Description” or to services provided under an Order Form shall not apply, and, as applicable, shall refer to the Customer’s selected Self-Serve plan. The scope of the Self-Serve Service is defined solely by the subscription plan selected by the Customer.
