Senior Commercial Counsel

<p>We’re looking for an exceptionally talented, humble, hard-working, collaborative, and pleasant Legal Counsel to join our legal team!</p> <p>You’ll work closely with our Sales, Marketing, Customer Success, Business Operations, and Go-To-Market teams. This position will report to the Head of Commercial Legal, and be responsible for various legal-related matters and projects involved with supporting the teams that sell and build our products, including negotiating service agreements and DPAs with prospective customers, building agreement templates, and using your expertise to add to our negotiation playbooks.&nbsp;</p> <p><strong>What will you be doing...</strong></p> <ul> <li>Draft, review, and negotiate a variety of commercial agreements to support customer sales, our purchase of software and services from suppliers, and growth-driven partnerships with both startups and public companies. Your primary focus will be on our service subscription agreements, software licenses, data processing agreements, and NDAs. We’ll ask you to draw from the experience you’ve gained from supporting hundreds or thousands of commercial transactions to help define business terms and structure deals in an optimal way.<br><br></li> <li>You’ll be asked to advise on a variety of areas ranging from intellectual property, data privacy, data security, software licensing agreements, and go-to-market strategy from a legal point of view.<br><br></li> <li>You’ll provide input on processes and policies to help scale the organization, and make our team more effective and efficient.<br><br></li> <li>Stay up-to-date on relevant industry, commercial, open source, IP, AI, privacy, employment, and other laws, regulations, and developments to be able to give the most effective advice.<br><br></li> <li>Develop the company’s knowledge in areas of special interest, including intellectual property, data protection, AML/KYC, and other regulatory matters. <br><br></li> <li>Operate independently, and provide practical, decisive guidance to our business teams that balances business objectives with legal risk, taking into account our company policies and negotiation positions.</li> </ul> <p><strong>Who are we looking for?</strong></p> <ul> <li>8+ years experience working on different kinds of commercial transactions (e.g., strategic alliance, SaaS, IP licensing, software licensing, product resale and distribution, working with contractors, outsourcing, facilities, etc.), including with large enterprise companies, companies in regulated industries (e.g, financial services, healthcare, etc.), government, and edu companies. <br><br></li> <li>Comfortable negotiating data processing agreements, including a working knowledge of GDPR and CCPA (and other US states’ privacy laws)&nbsp; as they relate to commercial contracts. <br><br></li> <li>Clean and concise drafting of documents, policies, Slack messages, emails, etc., in a manner that is digestible for non-lawyers. <br><br></li> <li>A confident, effective and positive negotiator who can lead an enterprise negotiation, prioritize the important aspects of the agreement, and efficiently bring deals to a favorable close.<br><br></li> <li>JD required.&nbsp; Bar admission and in good standing in at least one state.</li> </ul> <p><strong>We'd also love it if you had knowledge or an interest in learning...</strong></p> <ul> <li>Flexibility to adapt and thrive in a start/scale-up environment that is constantly expanding and changing as we grow our business.<br><br></li> <li>A reliable individual with high integrity and excellent judgment.<br><br></li> <li>Entrepreneurial mindset that enables you to successfully work independently with little guidance, but also to use good judgment and escalate issues when needed.<br><br></li> <li>Substantial understanding of intellectual property, licensing, privacy, data security, and commercial laws.<br><br></li> <li>An effective project manager that can drive cross-functional alignment with different departments and build consensus through creative problem-solving.<br><br></li> <li>Ability to contribute to, and iterate on, a contract playbook of fallback terms.<br><br></li> <li>A leader that will build authentic relationships with all kinds of people across many functional teams.</li> </ul> <p><strong>Compensation:&nbsp;&nbsp;</strong></p> <p>The base salary for this role is 136,000 - 150,000 per year.&nbsp; Please note that our salary ranges are based on current market data and the offered compensation may vary based on experience, skills, location, and other factors permitted by law</p> <p>When you join Team Veriff, we offer you the opportunity to have a real impact and advance your career, while looking after you along the way with a range of benefits designed with you in mind.
